Terms of Use

1. Who we are

L0CKED ("the service") is published and operated by Austin Harman Designs ("we", "us"). Contact: [email protected].

2. Eligibility and membership

L0CKED is a private, application-only network for founders, CEOs, and owner-operators of businesses with at least $1,000,000 in annual revenue. By applying you confirm that you meet that threshold, that the revenue band you attest to is accurate, and that the information you give us is true.

Membership is granted at our discretion following identity verification and human review, and may be declined without a detailed reason. Membership is personal to you and may not be shared, sold, or transferred.

3. Identity verification

Identity is verified through Stripe Identity. Your identity document is submitted to Stripe directly; we never receive, view, or store it. We receive only the outcome of the check. Stripe's handling of that document is governed by Stripe's own privacy policy.

4. Fees, renewal, and cancellation

Membership costs $5,000 per year. You are charged only after your application is approved. Membership renews automatically each year until you cancel.

You may turn off renewal at any time from your account settings; access continues to the end of the period you have paid for. Purchases made through the Apple App Store are managed in your Apple account settings and are also subject to Apple's terms. Memberships terminated for breach of these terms are not refunded.

5. Community standards — zero tolerance

There is no tolerance for objectionable content or abusive behaviour on L0CKED. By using the service you agree that you will not post, send, or share content that:

• harasses, bullies, threatens, defames, or intimidates any person;
• is hateful or discriminatory toward any person or group, including on the basis of race, ethnicity, national origin, religion, age, sex, sexual orientation, gender identity, disability, or immigration status;
• is sexually explicit, pornographic, or sexualises any person;
• sexualises, endangers, or exploits a minor in any way;
• promotes or facilitates violence, self-harm, terrorism, or illegal activity, including the sale of illegal goods or services;
• is spam, a scam, a pyramid or referral scheme, or an unsolicited pitch to the membership;
• infringes anyone's intellectual property or privacy rights, or discloses another member's private information or content outside the service;
• contains malware, or is intended to disrupt or gain unauthorised access to the service or another member's account;
• impersonates another person or misrepresents your business, revenue, or role.

You also agree not to scrape, harvest, or export the member directory or any member's content, and not to use the service to recruit for or sell services to the membership without our written permission.

6. Moderation, reporting, and blocking

Every post and comment in the service can be reported, and any member may block another member, which immediately hides that member's content from them. Reported content is reviewed and removed where it breaches these terms; content attracting multiple reports may be hidden automatically pending review.

We may remove content, suspend access, or terminate membership — with or without notice, and without refund — for any breach of these terms. Serious or repeated breaches result in permanent removal. Where content or conduct appears to involve a crime, we may report it to the appropriate authorities.

7. Your content

You keep ownership of everything you post. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display your content solely for the purpose of operating the service. That licence ends when you delete the content or your account, save for backups retained for a limited period and anything we must keep by law.

You are responsible for what you post. Do not post confidential information you are not entitled to share.

8. Privacy and confidentiality of the room

L0CKED is members-only. Content posted inside the service is not public and must not be republished, screenshotted, or otherwise shared outside the service without the author's permission. Our handling of your personal data is described in our Privacy Policy.

9. Account deletion

You may delete your account at any time from your account settings. Deletion permanently removes your profile and your content from the service and cannot be undone. Deleting your account does not by itself refund or cancel a subscription purchased through the App Store — cancel that in your Apple account settings.

10. Availability and changes

We aim to keep the service available and improving, but we do not guarantee uninterrupted availability. We may add, change, or remove features. If we make a material change to these terms, we will notify members.

11. Disclaimers

The service is provided "as is". Nothing shared on L0CKED — by us or by any member — is legal, financial, tax, or professional advice, and you should not treat it as such. We do not endorse or guarantee any member, and we are not party to any dealings between members. You are responsible for your own decisions and for your own due diligence.

12. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost business opportunities.

13. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your membership for breach of these terms as described above. Sections that by their nature should survive termination — content licence for retained backups, disclaimers, limitation of liability — do.

14. Governing law

These terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules.
